Articles of Association Indonesian NGO Council

CHAPTER I

REPRESENTATIVES OF THE INDONESIAN NGO COUNCIL

Article 1

Regional Representatives of the Indonesian NGO Council

  1. Regional representatives of the Indonesian NGO Council are part of the NGO network which consists of Indonesian NGO Council members domiciled in the regions who have requested to become a Representative for the purpose of implementing local programs under the Indonesian NGO Council.
  2. The Indonesian NGO Council may establish its Representatives at the local or provincial level in accordance with the following arrangements:
    1. There should be at least 5 (five) Indonesian NGO Council Members domiciled at the province concerned;
    2. Representatives may consist of an existing or new network from which its members are partly or entirely under the Indonesian NGO Council.
    3. The regional representatives are legitimate as a representative after declared their readiness and approved by National Steering Committees.
  3. Regional representatives of the Indonesian NGO Council are accountable to the Executive Director with regard to program implementation.
  4. In the implementation of programs, regional representatives of the Indonesian NGO Council must abide by the Code of Ethics of the Indonesian NGO Council.

 

CHAPTER 2

MEMBERSHIP

Article 2

Indonesian NGO Council Membership Criteria

  1. A member must share a common vision and mission consistent with that of the Indonesian NGO Council.
  2. A member must have a legal entity as the NGO
  3. A member must have an active executive board.
  4. A member must have an office with a clear, definite and verified address, location, email, and phone number.
  5. A member must have programs and activities.
  6. A member must be established for at least 2 (two) years.

 

Article 3

Membership Acceptance Procedure

  1. Request to become a member of the Indonesian NGO Council is to be submitted to the National Steering Committee through the Indonesian NGO Council Secretariat enclosed with the following supporting documents:
    1. Letter of request to become a member bearing the signature of the Chair of the Executive Board or other person authorized to externally and internally represent the concerned NGO;
    2. Organizational profile;
    3. Memorandum of association of the organization.
  2. Recommendation letter from at least three Indonesian NGO Council members; 2 (two) of which must be domiciled at the province where the applying NGO is based.
  3. If no Indonesian NGO Council Member is present at the region in question, recommendation can be provided by Indonesian NGO Council Members from the nearest province.
  4. The National Steering Committee of the Indonesian NGO Council through its Executive Director must provide a response of either accepting or rejecting the membership request  the latest 30 (thirty) days from the receipt of the application.

Article 4

Membership Verification

  1. Every year the Executive Director shall verify the status of members through its regional representatives.
  2. If a region has no representative, the verification process can be conducted by the Indonesian NGO Council Secretariat.
  3. Executive Director reports to the National Steering Committee on the verification results for approval by the Congress.

 Article   5

Membership Expiration

  1. Membership status shall terminate under the following conditions:
    1. Pursuant to Article 5 clause (5) point a (Memorandum of Association), a statement letter of dissolution by the pertinent NGO, and or verified results by the National Steering Committee tahta stated of the pertinent NGO isn’t fulfill Council’s membership criteria, which will be approved by the Congress.
    2. Pursuant Pursuant to Article 5 clause (5) point b (Memorandum of Association), the letter of resignation has been received by the National Steering Committee trough the National Secretariat of Indonesian NGO Council;
  2. Pursuant to Memorandum of Association, members who no longer have membership status must settle all financial and other administrative affairs related to the Indonesian NGO Council.

 Article 6

Mechanism to Dismiss Member

  1. There is a complaint and/or findings relate to the violations of Memorandum and Article of Association Indonesia NGO Council and Code of Ethics by the members.
  2. Verification by the National Steering Committees upholds the principles ; presumption of innocents, self-development, consolidation in internal areas, and the opportunities to defend themselves
  3. The mechanism of member dismissal will explain in detailed through National Stteering Commitees decision.

Article 7

Membership Fee

  1. An Indonesian NGO Council Member has the obligation to pay an annual membership fee of Rp 250,000 (two hundred and fifty thousand rupiahs) which must be settled no later than 31 December of each year, and this provision is applicable from 2011.
  2. An Indonesian NGO Council Member who has settled their annual membership fee shall be entitled to the full range of rights and be expected to fulfill all obligations.
  3. Membership fee shall be deposited at the bank account of the Indonesian NGO Council.

CHAPTER III

DECISION-MAKING MECHANISM

 Article 8

Decision-Making Mechanism of the National Steering Committee

  1. The decision-making process related to planning, mid-year and annual program and financial reports, and the appointment and dismissal of the Executive Director must be in accordance with the mechanism set forth in Article 13 of the Memorandum of Association.

ARTICLE 9

Decision-Making Mechanism of the Executive Director

  1. The Executive Director has the obligation to convene Secretariat staff meetings at least once a month in a participatory manner for the operations of the Indonesian NGO Council, formulation of plans, program reports and budgets, evaluation of staff performance and other matters under the authority of the Executive Director.
  2. The Executive Director must consult with and secure the approval of the Chair of the National Steering Committee with regard to proposal submissions.
  3. The signing of contracts entered into with external parties shall be done by the Executive Director.

 

CHAPTER IV

LOGO

Article 10

  1. The Logo of the Indonesian NGO Council displays an abstract illustration of an umbrella shaped in the form of a half circle colored in tosca-green with “Konsil LSM Indonesia” written underneath followed by its English translation, “Indonesian NGO Council”.
  2. The umbrella-like design signifies the shielding or nurturing of its members; tosca-green indicates independence and non-partisanship; and the open circle represents the accountability, transparency and dynamism of the Indonesian NGO Council.
  3. The Indonesian NGO Council Logo in general stands for the principle of social transformation that promotes dynamism and focuses on shaping a better future for NGOs, while enhancing unity, accountability, transparency, independence and non-partisanship.

 CHAPTER V

APPOINTMENT AND DISMISSAL PROCEDURE FOR NATIONAL STEERING COMMITTEES AND BOARD OF ETHICS

Article 11

Criteria and Appointment Mechanism of National Steering Committes and Board of Ethics

  1. Criteria of National Steering Committees and Board of Ethichs include general and specified criteria
  2. General criteria national steering committees and board of etchis are;
    1. High intergrity
    2. Hgh commitment to the principle and practices of NGOs accountability
    3. Having a wide network
    4. Ability to work in a team
    5. Demonstrate the spirit of  voluntarism
    6. Not a civil servant
    7. Not the managements and members of political parties
    8. Had never served yet as National Steering Committees and the Board of ethics for two (2) consecutive periodes
  3. Specified criteria for National Steering Committe and Board of Ethcis are;
    1. The individual come from Indonesia NGO Council Members (as evidenced by the letter od assignment/mandate)
    2. The individual come from Indonesia NGO Council Members already compliance based on the result of the assesment minimum standards of accountability Indonesia NGO Council
    3. Has the experiences in NGO at least for 10 years
    4. Understand the governances of the NGO
    5. Willing to make time for Indonesia NGO Council
    6. Has never indicated to corruption, committeed to violances and other human rights violations.
    7. If there are two candidates for National Steering Committees and Board of Ethics came from the same organisations, then one candidate will be selected based on the agreement in organisation
    8. Experienced strategic position in the NGO
  4. Mechanism for candidate registrations assigned in the National Congress

Article 12

Mechanism for Dismiss the National Steering Committees and Board of Ethics

  1. Pursuant to article 12 poin (g) Memorandum of Associations, there is a complain and or finding of violations of Memorandum and Article of Associations and Code of Ethics
  2. Verification to the National Steering Committees and Board of ethics members who violated committeed by the National Steering Committee and or Board of Ethics

CHAPTER VI

APPOINTMENT AND DISMISSAL PROCEDURE FOR AD HOC MEMBERS

OF THE BOARD OF ETHICS

ARTICLE 13

Appointment Procedure and Ad Hoc Membership Criteria of the Board of Ethics

  1. The Board of Ethics is responsible for determining its membership criteria. Basic requirements which must be fulfilled at a minimum include the following:
    1. priority shall be given to NGO activists;
    2. recognized among NGOs at the national level;
    3. demonstrate the capacity to carry out the necessary duties;
    4. of unquestionable reputation and sound credibility;
    5. independent;
    6. demonstrate the spirit of voluntarism.
  2. The Board of Ethics pools and selects eligible candidates by taking into account gender composition.
  3. The Board of Ethics approaches and inquires on the willingness of selected candidates to serve as ad hoc members of the Board of Ethics.
  4. The Board of Ethics selects a maximum of 2 (two) persons willing to serve as ad hoc members by taking into account the number (odd-number) and gender composition of all Board of Ethics members.
  5. The Board of Ethics issues a directive on the appointment of ad hoc members for a specified term to be informed to Indonesian NGO Council members in writing.

ARTICLE 14

Dismissal of Ad Hoc Board of Ethics Members

The dismissal of ad hoc Board of Ethics members shall be carried out by the Board of Ethics. Dismissals are on the grounds of:

  1. expiry of office term;
  2. resignation;
  3. breach of Memorandum or Article of Association and Code of Ethics of the Indonesian NGO Council.
  4.  Mechanism to dismiss Ad Hoc Board of Ethics Member are:
    1. There is a complaint and or finding of violations to Memorandum or Article of association and code of ethics
    2. Verification through the Ad Hoc Board of Ethics member who violated committed by another Board of Ethics
    3. The mechanism to dismiss Ad Hoc Board of Ethics member will be explained in detail through the standard operational procedure for dismissal process of Ad Hoc Board of Ethics members
